International jurisdiction for directors’ liability

The demand in the market for international advice on directors’ liability is increasing. The aim of this article is to analyse the main questions concerning international jurisdiction for this type of action. It is important to emphasise that directors’ liability claims are not part of the list of exclusive competences of Spanish courts, which does include the validity of the decisions of companies located in Spain (challenges to corporate agreements). The list of exclusive Spanish court competences is provided for in Article 24 of Regulation 1215/2012 of 12 December 2012 regarding jurisdiction.
