Characterized by a mix of tech startups and established financial institutions embracing digital transformation, the sector encompasses a wide range of services, including digital payments and blockchain technologies.

Our work spans customary banking and finance matters requiring technological legal aspects to be covered, including commercial lending, acquisition financing, project finance to regulatory banking work. We also cover structuring of innovative financing schemes and agreements with credit/bond proceeds financing and other specific tailor-made features. With an active trend to migrate financial services to a digital environment, the Firm has seen increasing activity in the sector. Our regular work includes:

  • Advising companies in the process of seeking authorization to act as ITFs from the Mexican Banking and Securities Commission and other regulators.
  • Advising companies in how to spin-off, divest assets, or modify their business model and operations so as not to be required to seek authorization to act as ITFs.
  • Advising ITFs (or pending to be authorized ITFs) in their day-to-day regulatory compliance, including with respect to internal practices, manuals, client onboarding, KYCs, data protection, etc.
  • Advising ITFs (or pending to be authorized ITFs) in debt and equity raising, JV structuring with institutional or strategic investors, commercial agreements, and corporate governance, among others.
  • Advising clients in the integration to payment systems, through innovative and unregulated models.
  • Advice in connection to finance, marketing and consumer rights, regulatory aspects of e-commerce, including compliance procedures and obtaining any required authorizations.
  • Assistance in connection to the structure of data privacy policies, drafting of privacy notices, as well as adapting foreign privacy policies to comply with Mexican law.
  • Drafting agreements with users and service providers, including application software development, as well as drafting their services agreements and terms of service for Mexico or adapting their foreign services agreements and terms of services to Mexican law.
  • Legal advice to mobile applications, online application portals, and multiple internet system platforms from a myriad of industries.
