Private Equity

Our team has vast knowledge in the design of tailor-made strategies for structuring corporate purchases, key acquisitions, or investments in privately and publicly held companies. Our advice includes clients on hostile offers (both local and with cross-border implications), regulated tender offers to privatize companies, as well as divestments and purchases of minority holdings.

Our experience includes advising clients in the formation and day-to-day activities of private equity funds, as well as the sponsoring companies and their management. We regularly incorporate regulated and non-regulated Mexican and foreign private equity funds.

Venture Capital

Venture Capital is one of the most sought-after practices in our firm. As result of the evolving landscape of the startup ecosystem in Mexico, our country has become fertile ground for entities both domestic and foreign investors to explore successful business opportunities.

As more of these companies turn to venture capital as a way of raising funds, we have developed a long-standing strategy of both, incorporating new entities, and preparing for investment and eventual exits.

In addition, we regularly represent angel investors looking for opportunities in the market, where we help them mitigate risks and due diligence matters.

Relevant matters: M&A

  • Ontex Group (Euronext: Ontex), a leading international supplier of personal care products headquartered in Brussels, Belgium, in their divestment of certain of its Mexican business activities (Grupo PI Mabe), for a total net amount of €265 million, to Softys, a personal hygiene company with operations across Latin America and part of Empresas CMPC, headquartered in Chile.
  • IFM Investors – a global funds manager with US$143 billion under management – and Aleatica, S.A.U. – a global leader in the management of transportation infrastructure projects – in the up to MXN$8,873,457,068.00 voluntary tender offer launched through the Mexican Stock Exchange to acquire 100% of the free float of Aleatica, S.A.B. de C.V.
  • Abu Dhabi Investment Authority in its acquisition of a 10% interest in Sempra Infrastructure Partners for USD $1.8 billion.
  • Elecnor, S.A. and Enagás Internacional, S.L., Sociedad Unipersonal in the drafting, negotiation, and execution of a share purchase agreement, as well as the conclusion and implementation of the closing acts required for the sale of its Mexican subsidiaries, Gasoducto de Morelos and Morelos O&M, to MIP V International, a wholly owned subsidiary of Macquarie Infrastructure Partners. Gasoducto de Morelos owns a 172-kilometer gas pipeline, which is divided into two sections located in the states of Morelos, Puebla and Tlaxcala, Mexico.
  • Rappi México in the structuring, negotiation, and implementation, of a joint venture for an amount of USD $400 million with Grupo Financiero Banorte, one of the largest financial groups in Mexico.
  • SK Capital Partners in the acquisition of Canadian pharmaceutical company Apotex Pharmaceutical Holdings and its Mexican subsidiaries.
